These Terms of Use explain how our services work, what we ask of you as a user, and what you can expect from us. This document contains the legal terms of use for your use of our website and services. Please read the Terms, as they specify the ways in which you may use the service, our rights to use your data to provide the service to you, the rules to follow when you use the service, how to handle any dispute between us, and more.

Accepting the Terms

Zenith Health Technologies, Inc, (“Zenith Health,” “Zenith,” “we,” “us,” “our”) provides its services to you through its website located at www.zenithhealth.io (the “Site”) and web application located at www.zenithhealth.app (the “App”) and other technologies (collectively, the “Service”), subject to the following terms (as amended from time to time, the “Terms”). By using or accessing the Service, you are agreeing to these Terms of Use and the Privacy Policy (the “Agreement”). If you do not agree to any of the terms in this Agreement, you should not use the Service. If you use the Service on behalf of a company or other entity, then “you” includes you and that entity, and you represent and warrant that (a) you are an authorized representative of the entity with the authority to bind the entity to these Terms, and (b) you agree to these Terms on the entity’s behalf.

Privacy and Your Personal Information

At Zenith Health, data privacy is core to our mission of building a better and more representative evidence base for pregnancy health. For details on how we secure your data, please review our Privacy Policy, which explains how we treat your personal information when you use the Service.

Not Medical Advice

The Service is not intended to provide medical advice, diagnosis, or treatment. Any content accessed through the Discover tool or provided through the Services, including text, data visualizations, links to outside websites, statistics, or otherwise, is provided for general informational purposes only and should not be relied upon for medical decisions. Always seek the guidance of a licensed healthcare provider with any questions you may have regarding your health or medical condition.

Description of the Service

Zenith provides a digital platform that enables individuals to discover and access information relating to pregnancy and maternal health (“Ask Pearl”), and contribute their experiences by participating in the Pregnancy Evidence Project - an observational research registry designed to gather real-world data on pregnancy experiences, health outcomes, and various exposures during pregnancy. Users can choose to use either or all of the components of Zenith’s platform - contributing to the Pregnancy Evidence Project is not a prerequisite of using Ask Pearl, nor is using Ask Pearl a requirement for participation in the Pregnancy Evidence Project.

Zenith reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, including access to specific features or components of the Service.

Discover ("Ask Pearl")

The Discover (“Ask Pearl”) service allows users to search for pregnancy-related information (the “Input” or “Inputs”), pertaining to health or wellbeing during and following pregnancy - surfacing and summarizing external content and sources of information in response to the user’s Input (the “Output”). The Discover service may also provide you with data insights that are generated by Zenith Health by fully de-identifying and aggregating the data collected and/or received by Zenith Health in connection with the Zenith Pregnancy Evidence Project, to help you better understand health experiences during pregnancy. This may include trends related to symptoms, medications, diagnoses, and other factors relevant to pregnancy and maternal health. This content is intended solely for informational purposes and is not a substitute for professional medical advice, diagnosis, or treatment. We are not responsible or liable for any content or materials of any third parties (including users), including, but not limited to, for any errors or omissions in any content, or for any loss or damage of any kind incurred as a result of the use of any such content.

Technology Partners

We utilize technology from third-party service providers to offer some of our Discover services. By using the Discover services, you acknowledge that any input you provide to the Pearl Search tool, including any personal data you choose to include, may be shared with the third-party service providers we work with to enable the functionality for the Service.

Links from the Service

Where the Discover service contains links to other sites and resources provided by third parties, these links are provided for your convenience only. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third-party websites linked to this Service, you do so entirely at your own risk and subject to the terms and conditions of use for such websites.

Contribute

The Contribute service allows users to participate in the Zenith Pregnancy Evidence Project, an IRB-governed research project (WCG IRB Protocol #2025146). Participating in this research project may include users being asked to share their own health information including self-reported information, symptoms, medical history, experiences with medications, pregnancy progress, and related information; users may also choose to authorize access to clinical health records from health systems or providers at which they have received care, via signing a HIPAA Authorization Form (collectively, the “Patient Information”). Patient Information may include (but is not limited to) patient history/physical exam reports, office notes (except psychotherapy notes), prenatal and pregnancy records, immunizations, operative notes and reports, ultrasound images and reports, diagnostic tests, lab results, pathology reports, radiology reports, films, referrals, consults, billing records, insurance records, and patient-reported measures across symptoms, quality of life, medications, and outcomes. We do not verify the medical accuracy, completeness, or truthfulness of Patient Information. We are not responsible or liable for the accuracy of the Patient Information you provide and/or that is provided to us by third parties. Additionally, we are not responsible for any third party’s policies or practices.

You may submit information for yourself or, if authorized, on behalf of another individual (e.g., your minor child or someone for whom you have legal authority).

The Patient Information you submit through the Contribute service to the Zenith Pregnancy Evidence Project will be aggregated, de-identified, and used by Zenith to support research and develop new insights into pregnancy health and outcomes. By participating in the Zenith Pregnancy Evidence Project, you hereby consent to use of your Patient Information in a de-identified, aggregated manner for purposes set forth in this Agreement.

Health Records Collection for Zenith Pregnancy Evidence Project

Medical Records are copies of documents from health care providers or health plans accessed through your HIPAA “right of access” will be “read only” and cannot be altered. If you believe any information in your Medical Records is inaccurate, it is your responsibility to address this issue with the relevant health care provider(s) or health plan(s).

By submitting a HIPAA Authorization Form, information, data, passwords, usernames, other log-in information, materials and/or other content (collectively, the “Content”) to Zenith Health through the Site and/or the Service, you are agreeing and acknowledging that Zenith may use that Content for the purpose of providing the Service. Zenith Health may use and store the Content in order to provide the Service to you, provided that such use and storage will be in accordance with the Privacy Policy. By submitting this Content to Zenith Health, you represent that you are entitled to submit it to Zenith for use for this purpose, without any obligation by Zenith to pay any fees or other limitations.

When you fill out and sign a HIPAA Authorization Form and submit it to Zenith Health, you authorize Zenith to send your HIPAA Authorization via fax, e-mail, or mail to your healthcare provider(s). You hereby authorize and permit Zenith Health to use and store the Content submitted by you to the Service to accomplish the foregoing, including submitting your HIPAA Authorization Form to your healthcare provider(s), and to configure the Service so that it is compatible with any third-party sites for which you submit login information. You understand and agree that the Service is not sponsored or endorsed by any third parties accessible through the Service.

Account, Passwords, & Security

You will be required to create an account with Zenith Health in order to access and use certain features of the Service. If you choose to register for the Service, you agree to provide and maintain true, accurate, current and complete information for your account. Our Privacy Policy describes how we handle your account data and certain other information you provide to us when you use our Service.

You agree and understand that you are responsible for maintaining the confidentiality of your password which, together with your Login ID, that allows you to access the Service. That Login ID and password, together with any phone number or other contact information you provide, form your “Account Information.” You understand that Zenith Health takes no responsibility for and disclaims any and all liability or consequential damages arising from a breach of your Account Information.

If you become aware of any unauthorized use of your Account Information, or if you become aware of any other security concerns, you agree to notify Zenith immediately at the e-mail address support@zenithhealth.io.

Text Messages

You may opt-in to receive text messages from Zenith Health as part of our Service. By providing your cell phone number to Zenith Health, you are agreeing to be contacted by or on behalf of Zenith at the telephone number provided, including via text (SMS) messages to your cell phone and other wireless devices, and the use of an automatic telephone dialing system, artificial voice and prerecorded messages, to provide you with informational, marketing, and promotional materials relating to Zenith’s products and services. You may opt-out of receiving text (SMS) messages from Zenith at any time by replying with the word STOP from the mobile device receiving the messages. Consent to receiving text messages is not required in order to use any Service from Zenith. However, you acknowledge that opting out of receiving text (SMS) messages may impact your experience with the Service that rely on communications via text (SMS) messaging. We share your phone number with service providers with whom we contract to send you any automated text messages, but do not share your phone number with any third parties for their own marketing purposes. By opting-in to receive text (SMS) messages from us, you acknowledge that messaging and data rates may apply depending on your phone service provider.

E-mail, Text Message, and Phone Call Communication

When you use the Site or Service, or send e-mails, messages, and other communications from your desktop or mobile device to us, you are communicating with us electronically. You agree that (a) all agreements and consents can be signed electronically and (b) all notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such notices and other communications be in writing. You consent to receive communications from us electronically. By providing your e-mail address and phone number to Zenith Health, you expressly authorize Zenith to contact you via e-mail or phone from time to time regarding (i) completing the process for registering for an account, (ii) certain changes made to your Zenith Health account, such as a change in your Account Information, (iii) updates to your Patient Information, (iv) questions related to retrieving your Patient Information, (vi) customer service matters and/or (vi) to let you know of changes to the Service. E-mails will be sent to the e-mail address you have provided as your primary e-mail address for the Service. If your e-mail address or your phone number changes, you are responsible for informing Zenith Health of that change. E-mails to you may include your Login ID or general information about your account. Notices and other communications will be provided in HTML (or, if your system does not support HTML, in plain-text) in the text of the e-mail or through a link to the appropriate page on our Site, accessible through any standard, commercially available internet browser.

Intellectual Property Rights

Zenith Health owns its Service and work product, including the “look and feel” (e.g., text, graphics, images, logos), proprietary content, information and other materials, are protected under copyright, trademark and other intellectual property laws. Other names, logos, product and service names, designs, links and slogans that appear on the Service are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by us.

These Terms permit you to use the Service for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any part of our Service, except as follows:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
  • You may store files that are automatically cached by your Web browser for display enhancement purposes.
  • If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by our end user license agreement for such applications.

You must not:

  • Modify copies of any materials from this Service.
  • Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this Service.
  • You must not access or use for any commercial purposes any part of the Service or any materials available through the Service.

If you wish to make any use of material available via the Service other than that set out in this section, please address your request to: info@zenithhealth.io.

If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Service in breach of the Terms, your right to use the Service will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to the Service or any content on the Service is transferred to you, and all rights not expressly granted are reserved by Zenith Health. Any use of the Service not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.

Access and Prohibited Uses

We reserve the right to withdraw or amend this Service, and any service or material we provide on the Site, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Service is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Service, or the entire Service, to users.

You agree that you will not:

  • solicit login information, Login IDs or personal information of another person, or access an account, belonging to someone else;
  • attempt to decipher, decompile, disassemble, or reverse-engineer any of the software comprising or in any way making up a part of the Site or the Service;
  • copy the Service or any part thereof;
  • use the Service for any commercial purpose;
  • attempt to breach any security or authentication measures of the Site or the Service;
  • use any robot, spider, scraper or other automated means to access, data-mine, data-crawl, scrape or index the Service in any manner;
  • avoid, bypass, remove, deactivate, impair, descramble or otherwise circumvent any technological measure implemented by Zenith Health or any other third party to protect the Service or the Site;
  • post or transmit any file which contains viruses, worms, Trojan horses or any other contaminating or destructive features, or that otherwise interfere with the proper working of the Site or the Service;
  • interfere or attempt to interfere with other Users’ use of the Site or Services, respectively;
  • do anything that could disable, damage, tamper with, impair or otherwise cause interruptions to the proper working of the Service;
  • defame, abuse, stalk, threaten, intimidate, harass or otherwise violate the legal rights of any User, or employee, staff or agent of Zenith Health;
  • provide any false personal information in your account, impersonate any person or entity, create more than one account, transfer your account or create an account for anyone other than yourself;
  • do anything that is harmful, threatening, abusive, libelous, illegal, infringing, fraudulent, malicious or could expose Zenith Health or its Users to harm or liability;
  • Otherwise facilitate or encourage any violations of this Agreement.

Geographic Restrictions

Zenith Health makes no claims that the Service may be lawfully viewed, downloaded, or accessed outside of the United States. Access to the Service may not be legal by certain persons or in certain countries. If you access the Service, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. When you access the Service outside of the United States, you acknowledge and agree that information you provide may be transferred to a jurisdiction other than your country of residence.

Termination

If you want to terminate your account with Zenith Health, you may do so by closing your account for the Service by contacting support@zenithhealth.io. Once you submit your request, we will confirm and process your request to delete your data. Thereafter, you will no longer be able to log into your account.

Zenith Health may at any time, in its sole discretion, suspend or terminate your account:

  • if you have breached any provision of this Agreement (or have acted in a manner which clearly shows that you do not intend to, or are unable to comply with the provisions of this Agreement);
  • if Zenith Health in its sole discretion believes it is required to do so by law (for example, where the provision of the Service to you is, or becomes, unlawful); or
  • immediately upon notice to the e-mail address provided by you as part of your account registration, with or without cause.

All sections which by their nature should survive the termination of this Agreement shall continue in full force and effect subsequent to and notwithstanding the termination of this Agreement.

Disclaimer of Representations and Warranties

THE CONTENT AND ALL SERVICES ON THE SITE OR PROVIDED THROUGH THE SERVICE ARE PROVIDED TO YOU ON AN “AS-IS” AND “AS AVAILABLE” BASIS. ZENITH HEALTH MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE PATIENT INFORMATION, CONTENT OR OPERATION OF THE SERVICE. YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

ZENITH HEALTH MAKES NO REPRESENTATIONS, WARRANTIES OR GUARANTEES, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, RELIABILITY OR COMPLETENESS OF THE PATIENT INFORMATION, CONTENT ON THE SITE OR OF THE SERVICE, OR THE CONTENT OF ANY THIRD-PARTY SITES LINKED TO THE SERVICE, AND EXPRESSLY DISCLAIMS ANY WARRANTIES OF NON-INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE. ZENITH HEALTH MAKES NO REPRESENTATION, WARRANTY OR GUARANTEE THAT THE PATIENT INFORMATION OR CONTENT THAT MAY BE AVAILABLE THROUGH THE SERVICE IS FREE OF INFECTION FROM ANY VIRUSES OR OTHER CODE OR COMPUTER PROGRAMMING ROUTINES THAT CONTAIN CONTAMINATING OR DESTRUCTIVE PROPERTIES OR THAT ARE INTENDED TO DAMAGE, SURREPTITIOUSLY INTERCEPT OR EXPROPRIATE ANY SYSTEM, DATA OR PERSONAL INFORMATION, AND ZENITH HEALTH ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICE, OR (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PATIENT INFORMATION STORED THEREIN.

ZENITH HEALTH MAKES NO REPRESENTATIONS WHATSOEVER ABOUT ANY OTHER WEBSITE THAT YOU MAY ACCESS THROUGH THIS SITE. WHEN YOU ACCESS A NON-ZENITH HEALTH SITE, PLEASE UNDERSTAND THAT IT IS INDEPENDENT FROM ZENITH HEALTH, AND THAT ZENITH HEALTH HAS NO CONTROL OVER THE CONTENT ON THAT WEBSITE. IN ADDITION, A LINK TO A NON-ZENITH HEALTH WEBSITE DOES NOT MEAN THAT ZENITH HEALTH ENDORSES OR ACCEPTS ANY RESPONSIBILITY FOR THE CONTENT, OR THE USE, OF THE LINKED SITE. IT IS UP TO YOU TO TAKE PRECAUTIONS TO ENSURE THAT WHATEVER YOU SELECT FOR YOUR USE OR DOWNLOAD IS FREE OF SUCH ITEMS AS VIRUSES, WORMS, TROJAN HORSES, AND OTHER ITEMS OF A DESTRUCTIVE NATURE. IF YOU DECIDE TO ACCESS ANY OF THE THIRD PARTY SITES LINKED TO THIS SITE, YOU DO THIS ENTIRELY AT YOUR OWN RISK. Limitations of Liability

ZENITH HEALTH SHALL IN NO EVENT BE RESPONSIBLE OR LIABLE TO YOU OR TO ANY THIRD PARTY, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, LIQUIDATED OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFIT, REVENUE OR BUSINESS, ARISING IN WHOLE OR IN PART FROM THE SITE, YOUR USE OF THE SERVICE OR THIS AGREEMENT, EVEN IF ZENITH HEALTH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITE, OR SERVICE IS TO STOP USING THE SITE OR THE SERVICE. TO THE EXTENT ANY ASPECTS OF THE FOREGOING LIMITATIONS OF LIABILITY ARE NOT ENFORCEABLE, THE MAXIMUM LIABILITY OF ZENITH HEALTH TO YOU WITH RESPECT TO YOUR USE OF THIS SITE OR THE SERVICE IS $500 (FIVE HUNDRED DOLLARS). YOU HEREBY AGREE TO WAIVE, TO THE FULLEST EXTENT PERMITTED BY LAW, ALL LAWS THAT LIMIT THE EFFICACY OF SUCH INDEMNIFICATIONS OR RELEASES. THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Dispute Resolution

Zenith Health is interested in resolving any disputes amicably and efficiently. Most user concerns can be resolved quickly and to the user’s satisfaction by contacting the Zenith Health team for support by sending an email to support@zenithhealth.io.

Agreement to Arbitrate

This Agreement, and your relationship with Zenith Health under this Agreement, shall be governed by the laws of the State of New York without regard to its conflict or choice of laws provisions.

We prefer to resolve disputes quickly and fairly through arbitration, rather than in court. Any dispute arising from or relating to the subject matter of this Agreement shall be finally settled by binding arbitration in New York, New York, using the English language in accordance with the Arbitration Rules and Procedures of Judicial Arbitration and Mediation Services, Inc. (“JAMS”) then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes, who shall be selected from the appropriate list of JAMS arbitrators in accordance with the Arbitration Rules and Procedures of JAMS. The prevailing party in any arbitration or other proceeding arising under this Agreement shall be entitled to receive reimbursement of its reasonable expenses (including reasonable attorneys’ fees, expert witness fees and all other expenses) incurred in connection therewith. Judgment upon the award so rendered may be entered in a court having jurisdiction or application may be made to such court for judicial acceptance of any award and an order of enforcement, as the case may be. Notwithstanding the foregoing, each party shall have the right to institute an action in a court of proper jurisdiction for injunctive or other equitable relief pending a final decision by the arbitrator. You and Zenith Health agree that any cause of action arising out of or related to the Site or the Service or this Agreement must commence within one (1) year after the cause of action arose; otherwise, such cause of action is permanently barred. You agree that, by entering into this Terms of Use, you and Zenith Health are each waiving the right to a trial by jury or to participate in a class action. Your rights will be determined by a neutral arbitrator, not a judge or jury. The Federal Arbitration Act governs the interpretation and enforcement of this Arbitration Agreement.

Prohibition of Class and Representative Actions and Non-Individualized Relief

YOU AND ZENITH HEALTH AGREE THAT EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION OR PROCEEDING. UNLESS BOTH YOU AND ZENITH HEALTH AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON’S OR PARTY’S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CONSOLIDATED, REPRESENTATIVE, OR CLASS PROCEEDING. ALSO, THE ARBITRATOR MAY AWARD RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF NECESSITATED BY THAT PARTY’S INDIVIDUAL CLAIM(S), EXCEPT THAT YOU MAY PURSUE A CLAIM FOR AND THE ARBITRATOR MAY AWARD PUBLIC INJUNCTIVE RELIEF UNDER APPLICABLE LAW TO THE EXTENT REQUIRED FOR THE ENFORCEABILITY OF THIS PROVISION.

If the arbitration terms and conditions of this Agreement are found to be unenforceable, then (i) the entirety of this arbitration provision shall be null and void, but the remaining provisions of these Terms of Use shall remain in full force and effect, and (ii) exclusive jurisdiction and venue for any claims will be in state or federal courts located in and for New York, NY.

Indemnity

You shall defend, indemnify and hold harmless Zenith Health and its officers, directors, shareholders, agents and employees, from and against any and all claims, demands, losses, liabilities, costs and expenses, including but not limited to costs of investigation and attorneys’ fees, in whole or in part arising out of or attributable to (i) any breach of this Agreement by you, (ii) your use or inability to use the Site and the Service, (iii) any Content submitted by you or (iv) your violation of applicable laws. Zenith Health reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to your indemnification. You will not, in any event, settle any claim or matter without the written consent of Zenith Health.

Severability

If any portion of this Agreement is deemed unlawful, void or unenforceable by any arbitrator or court of competent jurisdiction, this Agreement as a whole shall not be deemed unlawful, void or unenforceable, but only that portion of this Agreement that is unlawful, void or unenforceable shall be stricken from this Agreement.

Entire Agreement

This Agreement represents the entire understanding and agreement between you and Zenith Health regarding the subject matter of the same, and supersedes all other previous agreements.

Transferability and Assignment

You may not assign or transfer this Agreement, by operation of law or otherwise, without Zenith Health’s prior written consent. Any attempt by you to assign or transfer this Agreement without such consent will be null and of no effect. Zenith may assign or transfer this Agreement, in its sole discretion, without restriction. Subject to the foregoing, this Agreement will bind and inure to the benefit of the parties, their successors and permitted assigns.

Modifications

Zenith Health may modify this Agreement from time to time. Any and all changes to this Agreement will be posted on the Site. In addition, the Agreement will always indicate the date it was last revised. You are deemed to accept and agree to be bound by any changes to the Agreement when you use the Site or the Service after those changes are posted.
